(吉隆坡20日讯)独立顾问MainStreetAdvisers有限公司(MainStreet)认为ICT Zone亚洲(ICTZONE,03038,LEAP市场科技组)联合提出的收购献议既不公平也不合理。 早前,主要股东 ICT Zone Holdings 有限公司与拿督斯里吴天平以每股0.20令吉的现金价格收购剩余未持有的股票,共计2亿3473万3200股,约35.43%的股权。 MainStreet的评估显示,收购献议的报价相较于ICT Zone亚洲基于现金流折现法(DCF)的估值低了8.88%。 此外,该收购价对比2月28日交易日价0.28令吉低28.57%,相当于每股折价0.08令吉。 独立顾问进一步指出,主要股东有意维持ICT Zone亚洲在LEAP市场的上市地位,直至其成功转板至大马股票交易所的ACE市场。接受收购献议的截止日期为2025年4月2日星期三下午5点。 此项收购献议依据LEAP市场上市要求第8.06(1)条和ACE市场上市要求第15A指导说明第2.1段的规定,旨在推动ICT Zone亚洲实施转板上市的计划。 小股东可以通过此项收购献议兑现全部或部分的投资,也可以选择继续持有ICT Zone亚洲的股票,共同参与公司的成长直到转板上市成功。 ICT Zone亚洲的财务表现令人瞩目,其扣除少数股东后的税后盈利(PATAMI)从2020财年的100万令吉,增长至2024财年的730万令吉。同时,其息税折旧摊销前盈利(EBITDA)也从1970万令吉大幅提升至4817万令吉,凸显了公司不断增强的成就和财务实力。
